Contract compliance and effective enforcement of contract rights concern every European SME doing business in China. While many companies focus heavily on the dispute resolution mechanisms when drafting sales contracts, establishing a well-drafted and legally workable contract has several other aspects that are equally important to consider. Furthermore, each contract drafting process should be preceded by careful due diligence in partner selection to avoid problems further along the road.

The EU SME Centre is pleased to invite all European SMEs to an online workshop organised in collaboration with the China-Italy Chamber of Commerce (CICC) on How to Draft Sales Contracts When Exporting to China. Business advisor Alessio Petino and lawyer Daniel de Prado Escudero will share practical insight into the contractual aspect of doing business with Chinese buyers, and will help SMEs to evaluate the viability of contract arrangements with their Chinese business partners. The workshop will focus on explaining the key terminology, latest regulations, and on sharing best practices and expert tips to SMEs.

The first part of the workshop will provide an overview on how to carry out due diligence on potential business partners. Alessio Petino, EU SME Centre Business Advisor, will explain where to find information on Chinese business partners and will point out some red flags to watch out for when choosing partners. In the second part, Daniel de Prado Escudero, partner at HFG Law & Intellectual Property, will focus on the drafting process of sales contracts, covering the most important provisions and clauses that make a contract solid and legally enforceable. He will also focus on new regulatory developments in terms of privacy and data protection, which must be taken into consideration when developing business in China.

Speakers

Alessio Petino, Business Advisor, EU SME Centre

Alessio Petino has worked for 6+ years on various EU-funded projects in China, mainly conducting policy and regulatory analysis for European companies looking to enter or already in the Chinese market. Key focus areas: market access regulations and barriers, investment attraction policies, standards & compliance – with particular focus on R&D, tech & innovation.

Alessio joined the EU SME Centre in October 2020. He coordinates reports, guidelines and technical assistance to European SMEs; he also delivers training about different market entry approaches and engagements with China, opportunities and risks, as well as do’s and don’ts.

Daniel de Prado Escudero, Partner, HFG Law & Intellectual Property

As a lawyer at a Chinese law firm, with great expertise in intellectual property rights, privacy, data protection and corporate affairs in China, he advises companies on those fields in China.

Daniel is a member of the European Communities Trademark Association (ECTA) and member of the Inter-American Association of Intellectual Property (ASIPI), being also part of the Committee for Anti-Piracy affairs at ASIPI. Since 2016 Daniel has worked as an expert for the International desk at HFG Law & IP in Shanghai. Before that he worked as an inhouse counsel for two multinational Spanish companies and the leading IP firm in Spain Pons IP.

Having worked as a lawyer at leading law firms and companies in Europe and having graduated in Spain (Bachelor) and then Master of Laws in International Legal Practice from the Institute for Law & Economics (ISDE) in Madrid, Daniel is well positioned to advise clients on intellectual property cases with a European/Chinese dimension. Daniel is fluent in English, Spanish and has a basic understanding of Mandarin.
